01 About these terms

These Terms of Use (Terms) govern your access to and use of the website at bbna.ai and any associated tools, calculators, forms, or services (together, the Services) operated by Business Brokers Network Australia Pty Ltd (ABN 37 700 400 371) (BBNA, we, us, or our).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms apply in addition to any signed engagement letter, deed, listing authority, or member agreement you have with BBNA or a BBNA member broker — those documents will prevail over these Terms to the extent of any inconsistency.

02 The services we provide

BBNA is a national network of licensed Australian business brokers. Through the Services we may:

  • provide general information about business sales, appraisals, market conditions, and the broking process;
  • publish an indicative business appraisal calculator using anonymised industry data;
  • match prospective sellers with a suitable BBNA member broker in their sector and geography;
  • publish listings of businesses that BBNA member brokers have been engaged to sell;
  • publish content aimed at prospective brokers considering joining the BBNA network.

BBNA is a network operator. Individual member brokers are separate legal entities that hold their own real estate agent licences and act as principal in each transaction. BBNA does not, and does not represent that it does, act as agent in any sale unless a BBNA-operating entity is specifically engaged in writing.

03 Indicative appraisal tool

The business appraisal calculator at /sell/appraisal/ provides an automated, indicative estimate of value based on:

  • figures you enter (industry, revenue, adjusted profit);
  • publicly available Australian business sale multiples current at the time the tool was last updated;
  • a standardised eighteen-question risk-scoring methodology; and
  • a size-band adjustment.

The indicative appraisal tool is not:

  • a formal market appraisal or sworn valuation;
  • financial product advice, personal advice, general advice, taxation advice, or legal advice within the meaning of any Australian law;
  • a guarantee or forecast of the price at which any business will sell.

Actual sale prices depend on many factors the tool cannot capture, including buyer demand at the time of sale, macroeconomic conditions, sector consolidation activity, the quality of the sale process, the depth and accuracy of financial records, competitive alternatives available to the buyer, and negotiation dynamics. Businesses regularly sell for materially higher or lower than any indicative range, and some do not sell at all.

You must not rely on the output of the appraisal tool in isolation for any commercial decision. Before making any decision to sell, buy, invest in, or restructure a business, you should obtain independent professional advice from a licensed business broker, accountant, financial adviser, and lawyer.

04 Broker matching

Where you submit an enquiry or opt in to be contacted by a broker, BBNA may forward your details to one or more matched BBNA member brokers. Those brokers will contact you directly and any engagement will be governed by a separate written agreement (typically a Listing Authority and Deed of Confidentiality) between you and that broker.

BBNA does not warrant that any particular broker will accept your matter, that a matter will proceed to sale, or that you will receive any particular offer or outcome. BBNA is not a party to and does not receive commission on the underlying transaction unless expressly agreed in writing.

05 Listings and third-party content

Business listings published on the Services are prepared by, and remain the responsibility of, the BBNA member broker engaged to sell that business. While BBNA takes reasonable care to publish listings faithfully, we do not independently verify the financial or operational information provided in a listing.

All buyers must undertake their own due diligence — including engaging their own accountant and lawyer — before making any offer to acquire a business. Prices, revenue, profit, and other figures shown in listings are as represented by the seller and are subject to change or correction. Listings do not constitute an offer capable of acceptance.

The Services may contain links to third-party websites. We do not endorse and are not responsible for the content, practices, or accuracy of any third-party site.

06 Accounts and eligibility

Most Services are available without an account. Where an account or admin portal is provided (for example, to BBNA member brokers or applicants), you must:

  • provide accurate and current information;
  • keep your login credentials secure and confidential;
  • notify us promptly of any suspected unauthorised access;
  • use the account only for its intended purpose.

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction to use the Services.

07 Intellectual property

All content on the Services — including text, graphics, logos, methodology, calculator logic, source code, layout, images, and the "BBNA" and "Business Brokers Network Australia" marks — is owned by BBNA or licensed to BBNA (including from CIM-PRO Pty Ltd for CIM-PRO methodology and tooling). All rights reserved.

You may view, download, and print pages from the Services solely for your own personal, non-commercial use. You must not otherwise reproduce, distribute, republish, adapt, modify, transmit, or exploit any content without our prior written consent.

Any feedback or suggestions you provide to us may be used by us without restriction or compensation.

08 Acceptable use

When using the Services you must not:

  • use the Services to break any law or infringe any right of any person;
  • submit false, misleading, or defamatory information;
  • attempt to gain unauthorised access to any account, system, or network;
  • interfere with the operation of the Services, or circumvent any security or rate-limiting measure;
  • use automated means (scrapers, bots, harvesters) to collect content from the Services without our prior written consent;
  • use content from the Services to train or fine-tune a machine-learning or generative-AI model without our prior written consent;
  • reverse-engineer, decompile, or attempt to derive the source of any tool provided on the Services;
  • submit any content that contains viruses, malware, or harmful code.

09 No professional advice

All content on the Services — including articles, calculators, sector notes, listing information, and general commentary — is provided for informational purposes only. It does not constitute financial product advice, personal advice, general advice, taxation advice, or legal advice under the Corporations Act 2001 (Cth), Tax Agent Services Act 2009 (Cth), or any other law, and it does not take into account your objectives, financial situation, or particular needs.

Before making any decision based on content from the Services, you should obtain independent professional advice appropriate to your circumstances from a licensed adviser.

10 Warranties and disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, BBNA excludes all express and implied representations, conditions, and warranties, including as to:

  • merchantability, fitness for purpose, or freedom from defect;
  • the accuracy, completeness, currency, or reliability of any content, calculation, listing, or broker profile;
  • uninterrupted or error-free operation of the Services; or
  • any particular outcome from using the Services or engaging a matched broker.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other legislation which cannot lawfully be excluded.

11 Limitation of liability

To the maximum extent permitted by law, BBNA, its directors, officers, employees, member brokers, contractors, and licensors are not liable for any:

  • indirect, incidental, special, consequential, or punitive loss or damage;
  • loss of profit, revenue, goodwill, opportunity, business, data, or anticipated savings;
  • loss or damage arising from reliance on any content, calculation, listing, or broker communication accessed through the Services;
  • loss or damage arising from any act or omission of a BBNA member broker or third party;

whether arising in contract, tort (including negligence), statute, or otherwise, and whether or not BBNA was aware of the possibility of such loss.

Where liability cannot be lawfully excluded, our total aggregate liability to you in connection with the Services is limited, at our option, to re-supplying the Services or paying the cost of having the Services re-supplied.

12 Indemnity

You agree to indemnify BBNA against any claim, loss, damage, cost, or expense (including reasonable legal fees) suffered or incurred by BBNA arising from:

  • your breach of these Terms;
  • your misuse of the Services;
  • any content you submit through the Services being false, misleading, or infringing; or
  • any negligent or unlawful act or omission by you in connection with the Services.

13 Changes to services and terms

We may modify, suspend, or discontinue any part of the Services at any time without notice. We may amend these Terms from time to time. The current version will always be posted at this URL with an updated "Effective" date. If we make a material change we will use reasonable efforts to draw it to your attention. Your continued use of the Services after an update constitutes acceptance of the amended Terms.

14 Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms or that your use poses a risk to BBNA, other users, or the Services. Clauses which by their nature are intended to survive termination will do so, including sections 7, 9, 10, 11, 12, and 15.

15 Governing law

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia sitting in that state for any dispute arising out of or in connection with these Terms.
