← Sell Your Business The BBNA Process

How BBNA sells
your business.

Selling a business is a confidential, structured process — not a listing. From the first appraisal call to signed settlement, a BBNA broker guides you through seven deliberate stages. Each one has a purpose. Each one protects you.

Typical timeframe: 4–9 months
Confidentiality maintained at every stage

01

Confidential appraisal

Before anything else, we establish what your business is realistically worth in today's market.

A BBNA broker meets with you (in person or by video) to review your financials, operations, staff, customer base, lease, and market position. Using CIM-PRO — the world's leading business appraisal software — your broker can appraise the business through multiple methodologies: as a business sale (goodwill + plant & equipment) or as a share sale (whole-of-entity). We normalise your P&L for owner benefit, adjust for one-off items, and cross-reference against recent comparable Australian transactions in your sector. The result: an evidence-based value range for each sale structure — so you can make an informed decision about how to go to market, not a wishful listing price.

Time: 1–2 weeks Outputs: Written appraisal · Recommended sale price · Deal structure options
02

Preparation & positioning

A business that's sale-ready sells faster, at a better price, with fewer questions from buyers.

Your broker helps you prepare the material a serious buyer will want to see: three years of financials, current management accounts, staff and contractor arrangements, key contracts, plant & equipment schedules, and a professionally written Information Memorandum (IM) that tells the story of the business. If there are issues to clean up before market — outstanding tax, unclear ownership of assets, weak documentation — we identify them now, not mid-due-diligence.

Time: 2–4 weeks Outputs: IM · Buyer teaser · Financial pack · Data room
03

Confidential marketing

We take your business to market without ever naming it publicly.

BBNA lists your opportunity on the major Australian business-for-sale portals, promotes it to our national register of 20,000+ registered buyers, and — for sector-specific opportunities — reaches out to strategic acquirers your broker already knows. Every touch is anonymised: a blind teaser goes public, the full Information Memorandum goes only to buyers who've signed a non-disclosure agreement.

This is where CIM-PRO's web-based confidentiality architecture matters most. Unlike traditional brokers who email PDF IMs and lose track of who has them, BBNA brokers use CIM-PRO's secure virtual data room. Each buyer gets their own credentialled access with a watermarked, view-only version of your CIM. Every page-view is logged. Access can be revoked instantly if the buyer isn't progressing. No leaked PDFs, no forwarded emails, no way for a curious competitor to see your financials.

Reaching international buyers is easier too. Because your CIM is a live web experience rather than a static PDF, buyers can switch language and currency at the touch of a button. A private equity firm in Singapore views your Information Memorandum in English + AUD. A strategic acquirer in Berlin sees it in German + EUR. A family office in Hong Kong sees it in Chinese + HKD. No manual translation, no reformatted documents, no delay. Non-English-speaking acquirers engage confidently with your business instead of walking away.

Time: Runs continuously through steps 4–5 Outputs: Listings live · Buyer enquiries flowing · Weekly reporting
04

Buyer qualification

Not every enquiry is a buyer. We filter for the ones who genuinely can — and will — transact.

Every serious enquirer signs an NDA, provides evidence of funds (or finance pre-approval), and confirms their acquisition criteria. Time-wasters, competitors fishing for information, and unfunded dreamers never get past step one. What lands on your desk is a shortlist of buyers who match your business and have the means to close. Your broker also manages first meetings, keeping you protected from awkward negotiations and information you shouldn't share too early.

Time: Rolling Outputs: Signed NDAs · Proof of funds · Qualified buyer meetings
05

Offers & negotiation

When offers arrive, we make sure you're comparing apples with apples.

Most business sale offers aren't just about price. There are earn-outs, deferred payments, working capital adjustments, restraint of trade, lease assignments, staff retention, and vendor finance components. Your broker structures every offer into a comparable format so you can see the true value of each — after tax, after adjustments, after risk. Then we negotiate. Real negotiation, on your behalf, until the terms match what you deserve.

Time: 2–6 weeks per offer cycle Outputs: Heads of Agreement · Term sheet · Signed offer
06

Due diligence

The buyer verifies every claim we've made. Preparation in step 2 pays off here.

Due diligence is where deals fall apart if the seller isn't ready. A BBNA broker runs the process from your side: managing the data room, tracking every buyer question, coordinating with your accountant and lawyer, resolving issues before they become deal-breakers. We keep the buyer's momentum, protect you from over-disclosure, and ensure the process finishes with a signed contract — not a renegotiated price.

Time: 4–8 weeks Outputs: DD queries resolved · Contract of sale drafted · Conditions satisfied
07

Settlement & handover

Contracts sign. Funds transfer. You hand over the keys.

Your broker coordinates the final week — stocktake, employee transitions, lease assignments, supplier notifications, plant transfer. The buyer takes control on the day agreed, with everything documented. For many sellers, a short transitional handover follows (typically 2–8 weeks) where you remain available on a consulting basis. Then you're done — with the sale price in your account and a clean exit from the business you built.

Time: 1–2 weeks to settlement + transitional handover Outputs: Completed sale · Funds received · Business handed over
